PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing or using theirstory.io, creating an account, or using any TheirStory product or service, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the site or services.

TheirStory, Inc. (“TheirStory,” “we,” “us,” or “our”) operates theirstory.io, a web-based video recording and hosting platform that enables individuals and organizations to record, store, transcribe, and share stories — now, and for future generations. These Terms govern your use of our website, platform, and all related services (collectively, the “Services”).

1.  ELECTRONIC COMMUNICATIONS

By visiting theirstory.io or communicating with us electronically, you consent to receive electronic communications from us, including notices, agreements, disclosures, and other communications. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing, including under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and any applicable state equivalents (e.g., UETA).

2.  YOUR ACCOUNT

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must use strong, unique passwords and enable multi-factor authentication where available. You may not assign or transfer your account to any other person or entity. You must notify TheirStory immediately at help@theirstory.io upon becoming aware of any unauthorized use of your account or any other security breach. TheirStory is not responsible for any unauthorized access to your account resulting from theft, misappropriation, or compromise of your credentials, or from your failure to comply with these security obligations. TheirStory reserves the right to refuse service, terminate accounts, or remove content in its sole discretion, without liability to you.

3.  ORGANIZATIONAL ACCOUNTS AND MINORS

If you are an organization using the Services and your members include individuals under the age of 18, you must obtain and document parental or guardian consent prior to permitting such individuals to use the platform. A parental consent form is available at theirstory.io/resources/parental-consent-form. Consent documentation must be kept in your records and made available to TheirStory upon request.

TheirStory does not knowingly collect personal information from children under the age of 13 without verifiable parental consent, in compliance with the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506. If you are under 13, you may not use the Services. If you are between 13 and 17, you may use the Services only with the documented permission of a parent or guardian. TheirStory reserves the right to immediately delete any account or data if it determines that information was collected from a child under 13 without proper consent. Please review our Privacy Policy at theirstory.io/privacy-policy for our practices regarding children’s data.

4.  ACCEPTABLE USE

You are granted a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. You may not use the Services for any unlawful or prohibited purpose. Without limiting the foregoing, you agree not to:

(a) use the Services in any manner that could damage, disable, overburden, or impair the platform or interfere with others’ use and enjoyment of the Services;

(b) defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others;

(c) upload or transmit any content that is unlawful, infringing, obscene, defamatory, or that contains viruses or malicious code;

(d) harvest or collect personal information about others without their consent;

(e) use the Services for any commercial solicitation, pyramid schemes, or chain letters unless expressly permitted by TheirStory;

(f) attempt to gain unauthorized access to any portion of the Services or any systems or networks connected thereto; or

(g) violate any applicable local, state, national, or international law or regulation.

TheirStory reserves the right to monitor, remove, or refuse to post any content in its sole discretion and to terminate your access to the Services at any time for violation of these Terms.

5.  INTELLECTUAL PROPERTY

TheirStory Content

All content included as part of the Services — including text, graphics, logos, images, software, and the compilation thereof — is the property of TheirStory or its licensors and is protected by applicable intellectual property laws. You agree not to modify, publish, transmit, reverse engineer, create derivative works from, or exploit any TheirStory content, in whole or in part, without our express written permission. TheirStory content is not for resale. Your license to use the Services does not grant you any ownership rights in TheirStory’s intellectual property.

Your Content

TheirStory does not claim ownership of content you upload, record, or submit to the Services (“Submissions”). By default, all Submissions are private and will not be used by TheirStory without your consent.

If you opt in to sharing your content with TheirStory, you grant TheirStory, its affiliates, and necessary sublicensees a non-exclusive, worldwide, royalty-free, perpetual license to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission, and to publish your name in connection with it. You may revoke this consent at any time; however, revocation will not affect content already used or distributed by TheirStory under this license.

By submitting content, you represent and warrant that you own or have the necessary rights to that content and that your Submission does not violate any third party’s rights.

Use of Content

You may use TheirStory content solely for your internal organizational or personal use in connection with the permitted purposes of the Services. No other use is permitted without TheirStory’s express written consent.

6.  THIRD-PARTY LINKS AND SERVICES

The Services may contain links to third-party websites or integrate with third-party services. TheirStory is not responsible for the content, accuracy, or practices of any third-party sites. The inclusion of any link does not constitute endorsement by TheirStory. If you connect your TheirStory account to a third-party account, you consent to the ongoing release of information about you in accordance with your privacy settings on those third-party services.

Certain features of the Services are delivered using third-party providers, including cloud infrastructure. TheirStory requires such providers to maintain confidentiality and data security obligations consistent with these Terms, our Privacy Policy, and applicable industry standards, including SOC 2 Type II compliance or equivalent certifications. TheirStory is not liable for any acts, errors, or omissions of third-party providers, except to the extent caused by TheirStory’s failure to exercise reasonable diligence in selecting and overseeing such providers.

7.  DATA SECURITY AND PRIVACY

Security

TheirStory maintains a comprehensive information security program that includes commercially reasonable technical, administrative, and physical safeguards designed to protect your data and Submissions against unauthorized access, disclosure, alteration, or destruction. These safeguards include, without limitation: (i) encryption of data in transit (TLS 1.2 or higher) and at rest (AES-256 or equivalent); (ii) role-based access controls and least-privilege authentication; (iii) continuous monitoring, logging, and intrusion detection systems; (iv) regular vulnerability assessments and penetration testing; and (v) employee security awareness training. Videos and recordings are securely archived using Amazon S3 with server-side encryption.

Breach Notification

In the event of a confirmed security breach affecting your personal data or Submissions, TheirStory will notify you without undue delay and no later than seventy-two (72) hours after becoming aware of the incident, to the extent required by applicable law, including state data breach notification statutes (e.g., Cal. Civ. Code § 1798.82). Notification will describe the nature of the incident, the categories of data affected, the steps TheirStory is taking in response, and recommended steps you may take to mitigate potential harm. TheirStory’s obligations under this section are limited to notification; TheirStory shall not be liable for damages arising from a breach that was not caused by TheirStory’s gross negligence or willful misconduct.

Privacy Policy

TheirStory’s collection, use, and disclosure of personal information is governed by our Privacy Policy at theirstory.io/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy. We will provide reasonable advance notice of material changes to the Privacy Policy via email, in-platform notification, or posting on the Services.

Data Retention

TheirStory retains your content for the duration of your use of the Services. Upon termination of your account, TheirStory will retain your Recordings for thirty (30) days, after which they may be permanently deleted. You are solely responsible for downloading or exporting any content you wish to retain prior to account closure. TheirStory shall have no liability for any loss of data following the expiration of the thirty (30) day retention period.

8.  INTERNATIONAL USERS

The Services are controlled, operated, and administered by TheirStory from the United States. If you access the Services from outside the United States, you are responsible for compliance with all applicable local laws. You agree not to use TheirStory content in any manner prohibited by applicable laws or regulations in your jurisdiction.

9.  DISCLAIMER OF WARRANTIES

THEIRSTORY AND ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE SERVICES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THEIRSTORY AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.  LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEIRSTORY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR CONNECTED WITH YOUR USE OR INABILITY TO USE THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF THEIRSTORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THEIRSTORY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO THEIRSTORY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.

11.  INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TheirStory, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and third-party service providers (collectively, “Indemnified Parties”) from and against any and all losses, damages, costs, liabilities, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to: (a) your use of or inability to use the Services; (b) any content or Submissions you post, upload, or transmit through the Services; (c) your violation of these Terms or any policy incorporated herein; (d) your violation of any applicable federal, state, or local law or regulation, or the rights of any third party; or (e) any third-party claim arising from your use of the Services. TheirStory reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with TheirStory in asserting any available defenses. This indemnification obligation shall survive termination of these Terms and your use of the Services.

12.  TERMINATION

TheirStory reserves the right to suspend or terminate your access to the Services immediately, with or without notice, for any reason or no reason, including without limitation: (a) violation of these Terms; (b) non-payment of applicable fees; (c) conduct that TheirStory determines, in its sole discretion, is harmful to other users, the platform, or TheirStory’s interests; (d) inactivity exceeding twelve (12) consecutive months; or (e) upon request by law enforcement or other governmental agency. You may discontinue use of the Services at any time by deactivating your account. Upon termination, your right to use the Services ceases immediately. TheirStory shall not be liable to you or any third party for any termination of your access to the Services. Sections 5, 7, 9, 10, 11, 13, 14, and 17 of these Terms shall survive termination.

13.  DISPUTE RESOLUTION AND ARBITRATION

In the event of any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally, such dispute shall be resolved by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association (or a similar service mutually agreed upon), in New York, New York. You waive any venue or jurisdiction claims. The arbitrator’s award shall be final and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: Any arbitration will be conducted on an individual basis only. YOU AND THEIRSTORY EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

14.  GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in a state or federal court of competent jurisdiction located in the State of Delaware. You consent to the personal jurisdiction of such courts.

15.  CHANGES TO THESE TERMS

TheirStory reserves the right to modify these Terms at any time in its sole discretion. We will notify you of material changes by posting the updated Terms at theirstory.io/terms-and-conditions with a revised “Last Updated” date and, where practicable, by email or in-platform notification. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

17.  FORCE MAJEURE

TheirStory shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond TheirStory’s reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war, terrorism, riots, government actions, labor disputes, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. During any such event, TheirStory’s obligations shall be suspended for the duration of the event, and TheirStory shall use commercially reasonable efforts to resume performance as soon as practicable.

18.  GENERAL

These Terms, together with our Privacy Policy and any applicable Subscription Agreement or Order Form, constitute the entire agreement between you and TheirStory regarding your use of the Services and supersede all prior communications, proposals, and representations, whether oral or written. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable. TheirStory’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged in writing by TheirStory. No joint venture, partnership, employment, or agency relationship exists between you and TheirStory as a result of these Terms or your use of the Services. You may not assign or transfer these Terms or any rights hereunder without TheirStory’s prior written consent; TheirStory may freely assign these Terms. It is the express wish of the parties that these Terms be written in English. Any ambiguity in these Terms shall not be construed against TheirStory as the drafter.
